The Client is referred to as (CL), a natural or legal person. The service provider, JINSUN CHENG UNLIMITED (sole proprietorship), is hereby referred to as JCU.
Provision of Information and Materials by CL
CL delivers (brings, sends electronically via email or physically via post) the required information and documents to JCU.
Unless otherwise agreed verbally or in writing, CL shall compensate JCU for its work as follows: JCU work location: Fee rate: CHF 150.00/hour CL work location: Fee rate: CHF 150.00/hour; Car expenses: CHF 0.75/km; Travel time costs: CHF 80.00/hour (Prices are exclusive of VAT) (A flat-rate agreement is possible, subject to the submission of all receipts/documents to be booked for assessing/estimating the time required.) Invoices are due within 30 days of receipt unless otherwise agreed in writing.
The parties undertake to treat all information received from the other party in the context of this engagement as confidential. This obligation remains in effect both during the engagement and after its termination.
Liability by JCU
JCU and its employees' liability towards CL and third parties is limited to cases of intentional misconduct and gross negligence. Liability for the actions of auxiliary persons or in cases of force majeure is excluded. To the extent permitted by law, JCU's liability is, in any event, capped at the value of the service related to the claim against CL. Except where required by law, liability for slight negligence, lost profits, or consequential damages is expressly excluded. If the client's conduct contributes to the damage, JCU is fully exempt from liability. JCU reminds CL of its obligation to disclose all relevant facts. If the annual accounts and/or tax returns prepared by JCU deviate from reality due to incomplete or inaccurate information provided by CL, CL shall bear all legal consequences alone, and JCU will not be jointly liable in such cases.
This engagement is automatically established upon receipt of payment of the first advance invoice. Both parties have the right to terminate the contract with reasonable notice. For accounting services (such as financial audits, annual reports, tax planning, etc.), the notice period is 7–14 days. If the project is at a critical stage, sufficient time should be provided upon termination to ensure a smooth handover. (Refer to Swiss Code of Obligations, Art. 404)
Applicable Law
This agreement is subject to the Swiss Code of Obligations. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in the canton of Thurgau, Switzerland.
JCU is responsible for settling the social security contributions (AHV, IV, EO, ALV, etc.) for itself. The employer does not owe JCU any social security contributions or other compensation payments, particularly in the event of vacation, illness, accident, disability, or death.
